PreGuruPreGuru Receiver エンドユーザー使用許諾契約書（EULA）
本エンドユーザー使用許諾契約書（以下「本契約」）は、本ソフトウェアの使用に関して、お客様（個人・法人を問いません）と当社との間で締結される契約です。お客様は、本ソフトウェアをダウンロード、インストール、または使用することにより、本契約のすべての条項に同意したものとみなされます。本契約に同意されない場合は、本ソフトウェアをダウンロード・インストール・使用しないでください。
なお、本ソフトウェアは無償で提供されるものであり、当社が個別のサポートや問い合わせ対応を行うことを約束するものではありません。
第1条（本ソフトウェアの概要）
本ソフトウェアは、お客様のiPhone／Apple Watch上の「PreGuru」アプリ（以下「送信側アプリ」）から、同一ネットワーク経由で送られるスライド送り等の指示を受信し、お客様のコンピュータ上で矢印キー等のキー操作を最前面のアプリケーション（プレゼンテーションソフト等）に送出することにより、プレゼンテーション操作を補助する無償のソフトウェアです。
第2条（使用許諾）
- 当社は、お客様に対し、本契約の条項に従うことを条件として、本ソフトウェアを無償で、非独占的かつ譲渡不能な範囲で、お客様自身の私的利用または業務利用（法人による業務利用を含みます）のために使用する権利を許諾します。
- 本ソフトウェアは販売されるものではなく、その使用が許諾されるものです。本ソフトウェアに関する一切の権利は当社または正当な権利者に留保されます。
第3条（禁止事項）
お客様は、本ソフトウェアの使用にあたり、次の各号の行為を行ってはなりません。
- 本ソフトウェアの複製物を再配布・販売・貸与・公衆送信すること（当社の公式配布元以外での再配布を含みます）。
- 本ソフトウェアをリバースエンジニアリング、逆コンパイル、逆アセンブルすること（適用法令で明示的に許容される場合を除きます）。
- 著作権表示その他の権利表示を除去・改変すること。
- 法令・公序良俗に反する目的、または第三者の権利を侵害する目的で使用すること。
- 本ソフトウェアを用いて、お客様が正当な権限を有しないコンピュータ・アプリケーションを操作すること。
第4条（知的財産権）
本ソフトウェアおよびその名称・ロゴ・アイコン・ドキュメント等に関する著作権その他一切の知的財産権は、当社または正当な権利者に帰属します。本契約は、第2条に定める使用許諾を除き、お客様に対していかなる権利も移転・許諾するものではありません。
第5条（無保証）
- 本ソフトウェアは「現状有姿（AS IS）」で提供されます。当社は、本ソフトウェアについて、商品性、特定目的への適合性、第三者の権利を侵害しないこと、エラーや不具合がないこと、特定の環境・機器・OS・他のソフトウェアで正常に動作すること、継続的に提供されることを含め、明示・黙示を問わず、いかなる保証も行いません。
- お客様の使用環境（ネットワーク、OS、他アプリケーション、セキュリティ設定等）により、本ソフトウェアが意図どおりに動作しない場合があります。
第6条（責任の制限・免責）
- お客様は、本ソフトウェアを自己の責任において使用するものとします。
- 当社は、本ソフトウェアの使用または使用不能に起因または関連して生じた、いかなる損害（直接損害、間接損害、特別損害、結果的損害、逸失利益、データの消失・破損、プレゼンテーションの失敗・中断、業務の中断、他のアプリケーションへの予期しないキー送出・操作による影響等を含みますが、これらに限られません）についても、一切責任を負いません。
- とりわけ、本ソフトウェアは最前面のアプリケーションにキー操作を送出する性質上、意図しないアプリケーションやデータに対してキー入力が及ぶ可能性があります。お客様は、重要な作業・データを開いた状態での使用に伴うリスクを理解し、自己の責任で使用するものとします。
- 当社が損害賠償責任を負う場合であっても、当社の責任は、適用法令で許容される最大限の範囲で制限されるものとし、本ソフトウェアが無償で提供されていることに鑑み、当社は金銭的賠償の責任を負わないことを原則とします。
- 本条の規定は、当社の故意または重過失による場合、および法令上免責が認められない場合には適用されないことがあります。
第7条（ネットワーク・セキュリティ）
- 本ソフトウェアは、同一ネットワーク上の送信側アプリと通信します。お客様は、使用するネットワークの安全性を自己の責任で確保するものとします。
- 本ソフトウェアには任意の「ペアリング（4桁コード）」機能が用意されています。第三者による意図しない操作を防ぐため、必要に応じてこれを有効にすることを推奨します。当社は、ペアリングの設定・不設定に起因する損害について責任を負いません。
第8条（権限・他アプリケーションの操作）
- 本ソフトウェアは、Mac版では「アクセシビリティ」許可、Windows版ではキー送出のための動作を通じて、他のアプリケーションを操作します。これらの許可は、お客様の判断と責任において付与されるものとします。
- お客様は、これらの許可を付与することの意味とリスクを理解した上で本ソフトウェアを使用するものとします。
第9条（プライバシー）
本ソフトウェアは、お客様の個人情報を当社サーバーへ送信・収集しません。設定（ペアリングコード等）はお客様のコンピュータ内にのみ保存されます。詳細はプライバシーポリシーをご覧ください。
第10条（サポート・問い合わせ・アップデート）
- 本ソフトウェアは無償で提供されるものであり、当社は、本ソフトウェアに関する保守、サポート、不具合修正、アップデート、互換性の維持等を行う義務を負いません。
- 当社は、本ソフトウェアに関するお客様からのお問い合わせに応じる義務を負わず、回答できない場合があります。
- 当社は、事前の通知なく本ソフトウェアの提供を変更・中断・終了することがあります。
第11条（第三者ソフトウェア）
本ソフトウェアには、第三者が提供するソフトウェア・コンポーネント（オープンソースソフトウェアを含みます）が含まれる場合があります。これらには、それぞれの提供者が定めるライセンス条件が適用されます。該当する第三者ソフトウェアおよびそのライセンスは、第三者ソフトウェアの通知（ライセンス）に記載します。第三者ソフトウェアについては、当該ライセンスが本契約に優先して適用されます。
第12条（輸出管理）
お客様は、本ソフトウェアの使用、持ち出し、または提供にあたり、日本国の外国為替及び外国貿易法その他の輸出関連法令、ならびに米国輸出管理法令を含む適用される一切の輸出管理関連法令を遵守するものとします。お客様は、これらの法令で禁止される国・地域・主体に対して、本ソフトウェアを直接または間接に輸出・再輸出・提供してはなりません。
第13条（本契約の終了）
- お客様が本契約のいずれかの条項に違反した場合、本使用許諾は当然に終了します。
- 本使用許諾の終了後、お客様は本ソフトウェアの使用を直ちに中止し、本ソフトウェアおよびその複製物を削除するものとします。
- 第4条、第5条、第6条、第9条、第11条、第12条および第15条の規定は、本契約の終了後も有効に存続します。
第14条（本契約の変更）
当社は、必要に応じて本契約の内容を変更することがあります。変更後の本契約は、当社の公式配布元（transistors.co.jp）に掲示された時点、または変更後の本ソフトウェアを使用した時点で効力を生じるものとします。
第15条（準拠法・管轄）
- 本契約は日本法に準拠し、解釈されます。
- 本契約または本ソフトウェアに関して当事者間に紛争が生じた場合、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
第16条（同意）
お客様は、本ソフトウェアをダウンロード・インストールまたは使用することにより、本契約を読み、理解し、これに拘束されることに同意したものとみなされます。

PreGuru Receiver — End User License Agreement (EULA)
This End User License Agreement ("Agreement") is a legal agreement between you (an individual or entity) and the Company governing your use of the Software. By downloading, installing, or using the Software, you agree to be bound by all terms of this Agreement. If you do not agree, do not download, install, or use the Software.
The Software is provided free of charge, and the Company does not promise to provide individual support or to respond to inquiries.
1. Overview
The Software receives slide-control and related commands sent over a local network from the "PreGuru" app on your iPhone / Apple Watch, and sends keyboard input (such as arrow keys) to the frontmost application (e.g., presentation software) on your computer to assist presentation control. The Software is provided free of charge.
2. License
- Subject to this Agreement, the Company grants you a free, non-exclusive, non-transferable license to use the Software for your own personal or business purposes (including business use by a corporation).
- The Software is licensed, not sold. All rights not expressly granted are reserved by the Company or its licensors.
3. Restrictions
You shall not: (a) redistribute, sell, lease, or publicly transmit the Software (including redistribution from any source other than the Company's official channel); (b) reverse engineer, decompile, or disassemble the Software, except as expressly permitted by law; (c) remove or alter any proprietary notices; (d) use the Software for any unlawful purpose or to infringe any third party's rights; or (e) use the Software to control any computer or application that you are not authorized to control.
4. Intellectual Property
All copyrights and other intellectual property rights in the Software (including its name, logo, icon, and documentation) belong to the Company or its licensors. Except for the license in Section 2, no rights are transferred or granted to you.
5. No Warranty
- The Software is provided "AS IS". To the maximum extent permitted by law, the Company disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, error-free or uninterrupted operation, and compatibility with any environment, device, OS, or other software.
- Depending on your environment (network, OS, other applications, security settings, etc.), the Software may not work as intended.
6. Limitation of Liability / Disclaimer
- You use the Software at your own risk.
- The Company shall not be liable for any damages whatsoever (including direct, indirect, special, or consequential damages, lost profits, loss or corruption of data, failed or interrupted presentations, business interruption, or effects on other applications from unintended keystrokes) arising out of or relating to the use of, or inability to use, the Software.
- In particular, because the Software sends keystrokes to the frontmost application, keystrokes may reach unintended applications or data. You understand and accept this risk.
- Even if the Company is held liable, its liability shall be limited to the maximum extent permitted by law; given that the Software is provided free of charge, the Company shall, as a rule, bear no monetary liability.
- This Section does not apply to the extent liability cannot be excluded by law, or in cases of the Company's willful misconduct or gross negligence.
7. Network & Security
The Software communicates with the sender app on the same network. You are responsible for the security of your network. An optional pairing (4-digit code) feature is provided; enabling it is recommended to prevent unintended operation by third parties. The Company is not liable for damages arising from your pairing configuration choices.
8. Permissions / Control of Other Applications
The Software controls other applications via Accessibility permission (macOS) or keystroke injection (Windows). You grant these permissions at your own discretion and risk, understanding their meaning.
9. Privacy
The Software does not transmit or collect your personal information to the Company's servers. Settings (such as the pairing code) are stored only on your computer. See the Privacy Policy.
10. Support, Inquiries & Updates
- The Software is provided free of charge. The Company has no obligation to provide maintenance, support, bug fixes, updates, or continued compatibility.
- The Company has no obligation to respond to your inquiries about the Software and may be unable to do so.
- The Company may change, suspend, or discontinue the Software without notice.
11. Third-Party Software
The Software may include third-party software components (including open-source software), which are subject to their own license terms. Applicable third-party software and licenses are listed in the Third-Party Notices (Licenses). For such components, those licenses prevail over this Agreement.
12. Export Control
You shall comply with all applicable export control laws and regulations, including Japan's Foreign Exchange and Foreign Trade Act and other export-related laws, and U.S. export control laws. You shall not export or re-export the Software, directly or indirectly, to any country, region, or party prohibited by such laws.
13. Termination
This license terminates automatically if you breach any term. Upon termination, you must stop using and delete the Software and its copies. Sections 4, 5, 6, 9, 11, 12, and 15 survive termination.
14. Changes
The Company may modify this Agreement. The modified Agreement takes effect when posted at the Company's official channel (transistors.co.jp) or when you use a modified version of the Software.
15. Governing Law & Jurisdiction
This Agreement is governed by the laws of Japan. Any dispute shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
16. Acceptance
By downloading, installing, or using the Software, you acknowledge that you have read and understood this Agreement and agree to be bound by it.
